Terms of Service

These Terms of Service ("Terms") govern your access to and use of the websites, products, and services (collectively, the "Services") provided by CommodityAI, Inc. ("CommodityAI," "we," "us," or "our"). By accessing or using the Services, you agree to be bound by these Terms. If you do not agree, do not use the Services.

If you are using the Services on behalf of an organization, you represent that you have authority to bind that organization to these Terms, and "you" refers to that organization.

1. Use of the Services

Subject to these Terms, CommodityAI grants you a limited, non-exclusive, non-transferable, revocable right to access and use the Services for your internal business purposes.

You are responsible for configuring your systems to access the Services and for maintaining the confidentiality of your account credentials. You are responsible for all activity that occurs under your account.

2. Eligibility

You must be at least 18 years old and capable of forming a binding contract to use the Services. The Services are intended for business use and not for personal, family, or household purposes.

3. Acceptable Use

You agree not to misuse the Services. You will not, and will not permit others to:

• Use the Services in violation of any applicable law or regulation;

• Access or attempt to access the Services by any means other than the interfaces we provide;

• Reverse engineer, decompile, or attempt to derive the source code of the Services, except to the extent permitted by law;

• Interfere with or disrupt the integrity or performance of the Services;

• Upload or transmit any malicious code, or attempt to gain unauthorized access to any systems or data;

• Use the Services to build a competing product or to benchmark without our prior written consent; or

• Use the Services to process data you do not have the right to process.

4. Customer Data

"Customer Data" means the data, documents, and content that you or your users submit to the Services. As between the parties, you retain all rights in Customer Data. You grant CommodityAI a worldwide, limited license to host, process, and use Customer Data solely to provide and improve the Services and as otherwise described in our Privacy Policy.

You are responsible for the accuracy and legality of Customer Data and for obtaining all rights and consents necessary to submit it to the Services.

5. AI Features

The Services include features powered by artificial intelligence and machine learning. AI-generated output may be inaccurate or incomplete and should be reviewed by a qualified person before being relied upon. You are responsible for evaluating the suitability of any output for your purposes. CommodityAI does not warrant that AI output will be accurate, complete, or fit for any particular purpose.

Certain AI features are provided using third-party AI service providers. Your use of those features may be subject to the providers’ terms, and Customer Data may be processed by those providers as described in our Privacy Policy.

6. Intellectual Property

The Services, including all software, text, graphics, and other content (excluding Customer Data), are owned by CommodityAI or its licensors and are protected by intellectual property laws. Except for the limited rights expressly granted in these Terms, we reserve all rights in the Services.

If you provide feedback or suggestions about the Services, we may use them without restriction or any obligation to you.

7. Third-Party Services

The Services may integrate with or link to third-party products and services. We are not responsible for third-party services, and your use of them is governed by their own terms.

8. Fees

Fees for paid Services are set out in an order form or written agreement between you and CommodityAI. Unless stated otherwise, fees are non-refundable and exclusive of taxes.

9. Confidentiality

Each party may receive confidential information of the other. The receiving party will use it only to perform under these Terms and will protect it using reasonable care. This obligation does not apply to information that is or becomes public through no fault of the receiving party, or that is independently developed without use of the other party’s confidential information.

10. Disclaimers

THE SERVICES ARE PROVIDED "AS IS" AND "AS AVAILABLE" WITHOUT WARRANTIES OF ANY KIND, WHETHER EXPRESS, IMPLIED, OR STATUTORY, INCLUDING IMPLIED WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, AND NON-INFRINGEMENT. CommodityAI DOES NOT WARRANT THAT THE SERVICES WILL BE UNINTERRUPTED, ERROR-FREE, OR SECURE.

11. Limitation of Liability

TO THE MAXIMUM EXTENT PERMITTED BY LAW, CommodityAI WILL NOT BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES, OR FOR ANY LOSS OF PROFITS, REVENUE, DATA, OR GOODWILL. CommodityAI’S TOTAL LIABILITY ARISING OUT OF OR RELATING TO THESE TERMS WILL NOT EXCEED THE AMOUNTS YOU PAID TO CommodityAI FOR THE SERVICES IN THE TWELVE (12) MONTHS BEFORE THE EVENT GIVING RISE TO THE LIABILITY.

12. Indemnification

You will defend, indemnify, and hold harmless CommodityAI from and against any claims, damages, liabilities, and expenses arising out of your use of the Services or your breach of these Terms, except to the extent caused by CommodityAI’s gross negligence or willful misconduct.

13. Term and Termination

These Terms remain in effect while you use the Services. We may suspend or terminate your access at any time if you breach these Terms or if we discontinue the Services. Upon termination, your right to use the Services ceases. Provisions that by their nature should survive termination will survive.

14. Governing Law

These Terms are governed by the laws of the State of California, without regard to its conflict-of-laws principles. The state and federal courts located in San Francisco County, California will have exclusive jurisdiction over any dispute arising out of or relating to these Terms, and you consent to their jurisdiction.

15. Changes to These Terms

We may update these Terms from time to time. If we make material changes, we will provide notice through the Services or by other means. Your continued use of the Services after the changes take effect constitutes acceptance of the revised Terms.
